Conditional Business Activities in Vietnam: How to Identify Required Licences

Duong Tri Law · Updated

A company in Vietnam may be legally established but still be unable to start a particular regulated activity until the applicable business conditions, licences, certificates, personnel standards or premises requirements are satisfied.

The practical question is therefore not only which business lines appear on the enterprise registration, but which legal conditions attach to the real activity the company intends to perform.

Start with the actual activity, not only the business code

Describe what the business will sell, operate, import, manufacture or provide to customers. A broad registered business line may contain several regulated activities with different conditions.

Check the legal condition that applies before operations

Depending on the sector, the condition may take the form of a licence, certificate, approval, notification, professional qualification, minimum personnel requirement, technical standard, premises condition, security requirement or other specialised rule.

Foreign-invested companies should also separate domestic business conditions from foreign-investor market-access conditions.

Use a four-step licensing check

  1. Define the precise activity and responsible entity.
  2. Identify the specialised law and competent authority.
  3. Determine whether the requirement applies before establishment, before operation, or after a particular trigger.
  4. Map related requirements such as premises, personnel, product, import, data, fire safety or sector-specific approvals.

Common areas that require a separate review

Examples include education, tourism, transport, postal and logistics, food, cosmetics, medical devices, chemicals, digital platforms, games, cybersecurity, cryptography and other specialist activities. The exact condition depends on the facts and should be checked against the current sector rules.

Separate activity conditions from foreign-investor market access

A business condition and a foreign-investor market-access condition answer different questions. The first asks what an operator must satisfy to carry out a regulated activity in Vietnam. The second asks whether, and under what conditions, a foreign investor may enter that activity. Review both layers before fixing the ownership structure or filing sequence.

For foreign-invested projects, use the foreign ownership limits guide and the foreign investment hub together with the sector-specific licensing review.

Check when the condition must be satisfied

Not every condition applies at the same stage. Some requirements affect establishment or investment approval; others apply before operations, before a product launch or import, or only after a later trigger.

Stage Typical question
Before establishment or investment Does the proposed structure satisfy market-access or investor conditions?
Before operation Is a licence, certificate, qualified person, premises condition or technical approval required?
Before product launch or import Does the product require declaration, registration, conformity, specialised import review or another product procedure?
During operation Are there reporting, renewal, record-keeping, staffing or continuing compliance duties?

Do not confuse an activity licence with a product procedure

A company can be legally entitled to operate in a sector while a particular product, model, website, app or shipment still requires a separate procedure. Conversely, completion of a product procedure does not automatically authorise every business activity of the company.

For digital businesses, review the e-commerce and digital-platform guide. For chemicals, use the chemical regulatory guide. For a broader licensing review, start with Business Licensing and Regulatory Services.

Build a requirement matrix before preparing the dossier

For each planned activity, record the legal basis, competent authority, applicant, prerequisite documents, timing dependency, operating condition and post-licensing obligation. This prevents one licence from being treated as a blanket approval for a wider business model.

  • activity or product concerned;
  • responsible company or establishment;
  • licence, notification, certificate or other legal condition;
  • authority and filing route;
  • premises, personnel or technical prerequisites;
  • documents still missing;
  • dependency on investment, enterprise or product procedures; and
  • renewal, reporting or continuing obligations.

What to send for a preliminary review

Provide the proposed products or services, customer type, sales channel, premises, staff, imported goods or equipment, technology or platform functions and expected start date. This allows the licensing workstream to be separated from company formation and investment registration.

Legal reference note. Reviewed against the Investment Law 143/2025/QH15 effective 1 March 2026 and current specialised business-condition rules. This guide is a classification framework, not a substitute for the sector-specific licence requirements.
