Corporate Legal Services & Governance in Vietnam

Duong Tri Law advises operating businesses on governance, internal corporate records, decision-making authority and legal questions arising before significant changes. We review the actual ownership and management arrangements, relevant documents and intended decision before agreeing a practical legal scope. This service overview helps Vietnam companies, FDI subsidiaries and overseas management identify the appropriate advisory service.

LEGAL SUPPORT DURING OPERATIONS

Which corporate issues should be reviewed?

The focus is the company’s internal governance and compliance: who can decide, who can sign, what records are required and whether the proposed action is consistent with the charter and applicable law.

01

Governance and decision-making authority

Review the roles and authority of the owner, members, shareholders, board, legal representative and authorised signatories. Group approval and the Vietnam entity’s required corporate approval may be different steps.

02

Internal corporate records

Review charters, resolutions, decisions, meeting minutes, powers of attorney and ownership records that need preparation, updating or retention. The documents should reflect the company’s actual structure and decisions.

03

Compliance during operations

Assess duties arising from the organisational structure, actual business, internal records and proposed changes. Identify related registration, licensing, employment or other specialist work before defining the engagement.

04

Review before a material decision

Assess the legal implications of a proposed restructuring, transaction, business arrangement or decision affecting the company’s rights and obligations. A corporate review is distinct from a full transaction, tax or financial due-diligence mandate.

CORPORATE GOVERNANCE

Internal records should support how the company actually operates

A commercially sensible decision can still create problems if the wrong body approves it, the record is incomplete or the process conflicts with the charter. We assess the relevant company type, ownership structure, governance arrangements and actual decision; there is no single approval checklist for every enterprise.

Typical areas for review

Charter and governance structure
Authority for resolutions and decisions
Meeting minutes and supporting corporate records
Delegation, authorisation and management responsibilities
Rights and obligations of the owner, members and shareholders

ONGOING LEGAL ADVISORY

Corporate governance support for implementation questions

Ongoing advisory may suit a business with regular contract, employment, governance or operational questions. The engagement defines the covered work, contacts, response arrangements, working language and fee basis. It does not imply unlimited matters or automatic inclusion of litigation, specialist filings or work in other jurisdictions.

FREQUENTLY ASKED QUESTIONS

Corporate advisory during business operations

When should internal corporate arrangements be reviewed?

Common triggers include a governance change, a material transaction, an amended charter, new signing/delegation arrangements or a business reorganisation. Begin before implementing the decision so the proper approvals, records and related procedures can be identified. The review depends on the company type, charter and actual facts.

What documents should we provide?

Start with the enterprise/investment registration records where relevant, current charter, ownership and management information, relevant minutes/resolutions, authorisations and a short description of the intended action and deadline. Provide the version currently in force. Agree the intake channel before sending personal, confidential or transaction-sensitive material.

Should we use a one-off engagement or ongoing advisory?

A defined matter suits project-based work; recurring legal questions may suit ongoing advisory. The proposal identifies the documents or issues reviewed, advice or revised records delivered, client responsibilities, working language, timing dependencies and fee basis. Corporate implementation, authority filings, negotiations and later compliance work are included only where agreed. No general fixed completion time or universal fee applies to every matter.

Can a governance matter also involve contracts, employment or tax?

Yes. Changes to structure, authority or a business arrangement can affect several areas. We identify the related legal work and the appropriate specialist service. A registration or internal resolution alone does not establish that every investment, licensing, tax or employment requirement has been completed.
