Business Licensing & Regulatory Procedures in Vietnam

Duong Tri Law helps businesses identify the approvals and regulatory procedures relevant to their actual activities. The requirement may be a licence, eligibility certificate, registration, notification, product declaration or another sector procedure. We review the applicant, products, location, platform, goods and proposed operating model before agreeing the legal work. Foreign investors should also assess market access and investment requirements separately.

START WITH THE ACTUAL BUSINESS NEED

Unsure which permission or procedure applies?

Choose the situation closest to your plan. The specialist category resources below currently remain in Vietnamese; English service descriptions are available for the corresponding procedures. A category label is not a conclusion that every activity within it requires the same licence.

SECTOR PROCEDURE CATEGORIES

Select the category that matches your actual activity

The route starts with the business and product, then the applicable requirement and dossier. A company may need several procedures, and the applicant’s commercial role can differ from the overseas manufacturer’s or group company’s role.

HOW DUONG TRI LAW SUPPORTS THE REVIEW

What does licensing and regulatory support involve?

We begin with the actual activity and available evidence, then identify the legal requirement, readiness gaps and proposed application work. The engagement confirms the client’s inputs, our deliverables and any separate technical or corporate tasks.

01

Review the proposed activity

Clarify the products/services, applicant, ownership, premises, platform, staffing, goods, target customers and intended launch or shipment date.

02

Identify the procedure and conditions

Distinguish a licence, certificate, registration, notification, declaration, compliance file or other sector requirement. Assess the applicable conditions and sequence; do not treat every obligation as a licence application.

03

Prepare the agreed documents

Set out the records the client must provide, draft or reconcile the agreed legal documents and identify conditions needing implementation before filing. The client confirms accurate technical, commercial and personnel evidence.

04

Support review and explain the result

Provide the agreed submission and correspondence support, coordinate clarification and hand over the authority result and filing records. Explain the permitted scope, continuing conditions and next steps. Approval remains the authority’s decision; later filings and compliance management are separate unless agreed.

FREQUENTLY ASKED QUESTIONS

Questions about business licensing and sector procedures

A business model can involve more than one regulatory layer. Early classification helps identify which procedure applies and the records and conditions required before filing or operation.

Can we operate immediately after registering the business activity?

Not in every case. Enterprise registration does not automatically satisfy a separate sector licence, eligibility certificate, registration, notification, product declaration or other applicable operating condition. Review the actual activity and the rules effective when it will be carried out.

Is there one legal instrument called a sub-licence?

No single universal procedure follows from that expression. The Vietnamese informal term giay phep con refers broadly to additional business conditions or sector procedures. The actual legal instrument may be a licence, certificate, registration, notification, declaration or another prescribed record. Its precise name and effect matter.

Can one business require several procedures?

Yes. One model may involve business conditions, operational approval, product procedures, data duties, fire/environment requirements or specialist import controls. The required combination depends on the actual activities, applicant, premises and goods; not every example applies to every enterprise.

Should we review requirements before committing to premises or equipment?

Often the application needs evidence of actual premises, systems or equipment. An earlier legal review can nevertheless identify eligibility and specification risks before a long lease, major fit-out or expensive order. Legal advice does not replace engineering, inspection, testing or certification work.

When does the processing period start, and what affects the fee?

The authority period and trigger depend on the specific procedure and dossier status. Client preparation, readiness work, translation, testing and clarification are separate dependencies. Professional fees depend on the procedure, products/models, evidence, representation and deliverables agreed. Official charges and third-party costs are identified separately; no single timetable or price applies across all procedures.

Can foreign-invested companies use these procedures?

Eligibility must be checked for the actual activity, investor and applicant. Market-access conditions, investment arrangements, ownership, business scope and sector rules may affect the route. IRC or capital-acquisition work belongs to the separate foreign-investment service; a sector licence should not be assumed to resolve those questions.

What happens after the authority result?

Depending on the sector, the business may need to maintain conditions, retain records, display information, report, renew or amend a permission after changes to premises, personnel, product, activity or registered details. We explain relevant follow-on issues within the agreed handover; ongoing administration and later applications need their own scope.

Regulatory review for some event programmes

A roadshow or product launch can involve several activity-specific requirements. The specialist guides explain screening questions in Vietnamese:roadshow procedures (Vietnamese) and product-launch event procedures (Vietnamese). The programme, location, advertising/content and actual activities determine the required review; there is no universal event permit inferred from the event’s name.

DISCUSS YOUR VIETNAM BUSINESS PLAN

Identify the regulatory route before preparing a dossier

Send a short description of the activity, applicant, products, premises, platform or goods, available approvals and intended launch/shipment date. We will clarify the regulatory questions, proposed work, client inputs, deliverables and fee/timing dependencies before proceeding. Detailed technical or personal records should follow an agreed intake channel.

Specialist service guides

Choose the guide that matches the specific procedure. Each assessment or registration has its own evidence and agreed scope.
