Investor or ownership
A transfer or replacement can affect both investment approvals and company records.
Map a proposed project change to the correct investment approval, IRC, enterprise and sector-licence steps before filing amendments.
START WITH THE RIGHT ROUTE
Changes to the investor, investment capital or financing structure, project objectives, scale, location, schedule, duration and project identification may affect the Investment Registration Certificate (IRC). The exact procedure depends on the registered particulars and on whether the project is subject to an investment policy approval.
A share transfer or new business activity should not be labelled a simple IRC edit without checking foreign market access, transaction approvals, the company’s Enterprise Registration Certificate (ERC), sector licences and the facts of implementation.
KEY DECISIONS
A transfer or replacement can affect both investment approvals and company records.
Compare registered capital with contributions, sources of funds and the proposed increase or reduction.
New products or services may raise market-access or sector licensing questions.
Assess site rights, planning and the effect on the registered project.
Explain actual progress and the basis for extending milestones or term.
Check names and identifiers across the IRC, ERC and underlying approvals.
PRACTICAL GUIDANCE
An IRC records investment project information; an ERC records enterprise information. Some changes require an investment policy approval amendment first, then the IRC, then the ERC or other records. Others may only affect one part of the file. We build a change map before drafting forms so the same investor, capital, location and activity information appears consistently across records.
Historic late filings, missing capital contributions, lapsed project milestones and inconsistent monitoring reports can affect the amendment case. Identify and explain them rather than silently copying old project data.
PRACTICAL GUIDANCE
Provide the current IRC, ERC, investment policy approval if any, company charter and investor records, the proposed before-and-after changes, implementation and capital evidence and the relevant premises or sector documents. Foreign investors may need legal-status and financial-capacity evidence with appropriate authentication and translation.
The dossier varies by change: a capital increase, new investor, site move or project extension will require different explanations. We provide a tailored list after reviewing the existing file.
HOW WE WORK
First we review the registered and actual project position. Next we identify the approving authority, route and prerequisites. We draft the amendment application and explanations, coordinate signing, file and respond to official questions. On receipt, we verify the revised IRC and set out any ERC, tax, licensing, reporting or internal record updates still needed.
Authority processing periods apply to qualifying complete files and vary by route; they should not be presented as the entire transaction timetable. Fees depend on the change and any additional approvals or corrective work.
A CLEAR SEQUENCE
PRACTICAL GUIDANCE
Do not implement a regulated change on the assumption that an amendment can be filed later. The current Investment Law 143/2025/QH15 and Decree 96/2026/ND-CP must be read with the project’s investment policy approval and the relevant enterprise and sector rules. Administrative sanctions are fact-specific; we review the actual event and applicable rule before stating exposure.
BEFORE YOU FILE
An IRC amendment is not automatically the only filing. Map the proposed event to each affected record before signing the transaction or implementing a regulated change.
| Record | Question to answer |
|---|---|
| Investment policy approval | Does an approved project decision need amendment before the IRC? |
| IRC | Which registered project particulars change? |
| ERC | Does the company’s enterprise registration change too? |
| Other licences | Does the new activity, location or ownership affect sector permits? |
BEFORE YOU FILE
The Vietnamese source gives particular attention to the investor and market access, financing, new objectives, project site, actual progress and previous approvals. These determine the explanation and evidence, not merely the wording of the form.
Review investor nationality, transaction structure and planned sectors.
Reconcile contributed capital, planned capital and financing evidence.
Check land or lease rights and planning constraints.
Explain delays and outstanding monitoring reports before seeking more time.
BEFORE YOU FILE
The receiving authority and timetable vary with the project and approval route. Failure to amend or report can carry administrative consequences, but sanction ranges depend on the precise event and effective rule. We assess exposure from the record instead of assigning a generic fine.
INITIAL REVIEW
These copies help us identify the route and a realistic scope. We will specify originals, authentication and translations after checking the case.
Only if the project’s registered location or another IRC particular is affected; the ERC and premises records also need review.
No. They cover different legal records, and some transactions require both in a particular order.
They can complicate the factual explanation. Review prior reports and actual progress before preparing the amendment.
No. The registered investment project particulars must be compared with the proposed company change.
Potentially, but actual progress, reasons for delay, reporting and the applicable approval route need review.
It can be required to support the proposed capital and funding plan. The precise evidence depends on the amendment.
Check the ERC, tax, sector licences, contracts, reporting calendar and internal project records for necessary updates.
LEGAL FRAMEWORK
The requirements, authority and current procedure must be checked for the facts and filing date of each case.
NEXT STEP
Send the current documents, proposed change and timing. We will identify the initial questions and agree the scope of work.
