The program
Identify the version, functionality, source material and explanatory materials needed to distinguish the submitted work.
Prepare a defensible authorship and ownership record before registering a computer program in Vietnam. The filing should match how the software was actually developed.
SERVICE GUIDE
The filing concerns an identified computer program. It supports proof of the declared author and owner; it is not a product approval, patent, cybersecurity certificate or licence to use third-party code.
Identify the version, functionality, source material and explanatory materials needed to distinguish the submitted work.
Trace the right from individual creators to the applicant through employment, commissioning or assignment evidence.
Licensing, SaaS terms and a transfer of copyright are separate agreements that should match the actual ownership position.
Copyright may arise when an original work is created and expressed in a tangible form. Registration is valuable evidence in a transaction or dispute, but it cannot create a right that the applicant never acquired.
SERVICE GUIDE
The best time is usually after a version can be identified and before the business needs to prove its rights to a counterparty.
Document the released version and who contributed before opening access to customers or partners.
Provide a coherent chain of title for diligence, fundraising or a transfer of the product.
Make it easier to show what work existed and who held rights when negotiating or enforcing a licence.
An internal tool can also be commercially important. The question is whether the version and ownership evidence are sufficiently clear, not whether the software has been publicly sold.
SERVICE GUIDE
Modern programs are often assembled by employees, founders, freelancers and vendors. Each contribution needs a factual and contractual basis.
Review job duties, commissioning instructions and any assignment between the individual and the company.
Read the statement of work, acceptance record, payment and IP clauses rather than assuming a paid invoice transferred copyright.
Inventory third-party code, licences, generated components and restrictions; do not claim third-party material as original owned code.
We compare the declaration, code sample, interface captures and development history for consistency. Where the ownership chain is incomplete, the draft identifies the contract or confirmation to obtain first.
SERVICE GUIDE
The registration dossier identifies the computer program, its author and the applicant’s basis of ownership. The precise deposit and supporting records depend on the applicant.
Use the current form for a computer program, naming the work, author, applicant and creation/publication details consistently.
Prepare the required copy or representative material and technical description while considering confidentiality of the source code.
Attach employment, commissioning, assignment, consent or other documents that establish the applicant’s basis where needed.
Foreign documents, translations and the applicant’s authority to sign need review. We agree what material will be submitted and how sensitive code will be handled before the filing is lodged.
SERVICE GUIDE
Typical problems are an inconsistent version name, unsupported company ownership, missing author details or confusion between the registered program and a licence to use it.
Resolve discrepancies between the forms, code copy, interface and ownership documents.
Track requests to correct or supplement the file within the applicable period.
Keep the deposited version, source history, certificate and assignments together; review later versions and commercial licences separately.
The quote separates the legal review and filing service from official fees, translation and any additional work to repair ownership documents. The authority determines the outcome and formal processing period.
SERVICE GUIDE
A good schedule starts with ownership and deposit preparation, not only the authority examination period.
Where several contributors developed the program, obtaining assignments or confirming which company owns each module can take longer than completing the declaration. The work copy should identify the program while limiting unnecessary disclosure of commercially sensitive source code. We agree the submission set and handling method with the client before a copy is prepared.
The quote identifies the rights review and dossier work, official charges, translation and any extra contract remediation separately. If the authority asks for amendments, the client receives a clear list of changes and the applicable response date. No certificate date or result is promised before the authority reviews a valid file.
SERVICE GUIDE
The commercial value of software also depends on contracts and information management after a certificate is issued.
A registered program can still be difficult to exploit if a vendor contract permits only limited use, a co-developer retains rights or the customer agreement grants more than the company owns. We flag those issues and connect the registration review with development, licensing, SaaS and confidentiality documents where requested.
Store the registered version, source-control history, contributor list, assignments and certificate together. Later versions, new modules and a change in ownership should prompt a review of the evidence and licensing position. Registration does not replace a technology-licence or a transfer agreement.
HOW WE WORK
INITIAL REVIEW
These items let us classify the route and give a realistic scope before requesting originals, translations or formal signatures.
SERVICE GUIDE
An authorship and ownership review, evidence checklist, registration dossier and a record of unresolved third-party or contract issues. The practical schedule includes resolving ownership evidence and preparing a suitable deposit copy before any authority processing period starts. Official fees and legal work should be quoted separately. After registration, keep the certificate, source/version history, assignments and licensing contracts together; a later material version or new contributor may call for a fresh rights review.
No. Registration supports evidence of the right; it is not the event that creates copyright.
It depends on the contracts and the underlying allocation of rights. Review assignments before filing.
Payment alone should not be treated as a complete chain of title. Review the contract, scope and transfer provisions.
Not necessarily. Compare the new version with the deposited work and the commercial importance of proving the later changes.
No. Open-source and third-party licences remain separate obligations and should be reviewed before the applicant claims ownership of the deposited work.
LEGAL BASIS
This guide draws on Decree 17/2023/ND-CP and the corresponding Vietnamese service page. Forms, deadlines and filing routes should be confirmed against the current rules and the facts of each matter before submission.
